Welcome to Summit Supply. "We," "us," and "our" refer to Summit Supply Limited. Summit Supply operates this store and website, including all related information, content, features, tools, products and services, to give you a curated shopping experience (the "Services"). Summit Supply is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced here, describe your rights and responsibilities when using the Services, including warranty disclaimers and limitations of liability. By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you don't agree, please don't use the Services.

Nothing in these Terms limits any right you have under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986, which apply regardless of any term here.

Section 1 — Access and Account

By agreeing to these Terms, you confirm you're at least the age of majority where you live, and that you consent to any minor dependents using the Services on devices you own or manage. You may be asked for information such as your email, billing, and shipping details when using the Services — you confirm this information is correct, current, and complete. You're responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign, or licence your account to anyone else.

Section 2 — Our Products

We've made every effort to accurately represent our products. Colours or appearance may differ slightly from your screen due to your device. We don't warrant that products will meet your expectations or match how they're depicted online. Product descriptions may change at any time, and we may discontinue products or limit quantities available to any person, region, or jurisdiction.

Section 3 — Orders

Placing an order is an offer to purchase; it's not accepted until we confirm it and process your payment. Please review your order carefully, as we may be unable to accommodate cancellation requests once accepted (see our Return and Refund Policy for the order cancellation window). If we decline, change, or cancel an order, we'll try to notify you using the contact details provided at checkout.

Your purchases are subject to return or exchange in accordance with our Return and Refund Policy. You confirm your purchases are for personal or household use and not for commercial resale or export, unless otherwise agreed with us in writing.

Section 4 — Prices and Billing

Prices, discounts, and promotions may change without notice. The price charged is the price in effect when you place the order, confirmed in your order confirmation email. Unless stated otherwise, prices exclude GST, shipping, handling, customs, and import charges as applicable. Prices here may differ from prices in physical stores or on other platforms. You agree to provide accurate, current payment and account information, and confirm you're authorised to use the payment method provided.

Section 5 — Shipping and Delivery

See our Shipping Policy for delivery estimates and details. All delivery times are estimates, not guarantees. We're not responsible for delays caused by couriers, customs processing, or events outside our control. Once we hand products to the carrier, risk of loss passes to you, without affecting your CGA rights.

Section 6 — Intellectual Property

Our Services — including trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and their design, selection, and arrangement — are owned by Summit Supply, its affiliates, or licensors, and are protected by New Zealand and international copyright, trademark, and other intellectual property laws.

You may use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store, or transmit any material from the Services without our prior written consent. Nothing here grants you any licence or rights under our (or any third party's) patents, trademarks, copyright, or other intellectual property, except as expressly stated. Summit Supply's names, logos, and slogans are our trademarks; Shopify's are Shopify's. All other names, logos, and marks on the Services belong to their respective owners.

Section 7 — Optional Tools

You may be given access to third-party tools as part of the Services, which we don't monitor or control. These are provided "as is," without warranty or endorsement, and any use of them is at your own risk. New features we add in future are also covered by these Terms.

Section 8 — Third-Party Links

The Services may link to third-party websites. We're not responsible for their content, accuracy, or practices. If you visit them, you do so at your own risk, and any issues with third-party products or services should be directed to that third party.

Section 9 — Relationship with Shopify

Summit Supply is powered by Shopify, which enables us to provide the Services to you. Any sales you make through our store are made directly with Summit Supply, not Shopify. Shopify isn't responsible for any aspect of transactions between you and Summit Supply, including any injury, damage, or loss resulting from purchased products. You release Shopify and its affiliates from claims, damages, and liabilities arising from your purchases and transactions with Summit Supply.

Section 10 — Privacy Policy

All personal information we collect is subject to our Privacy Policy, and certain information may also be subject to Shopify's Privacy Policy. By using the Services, you confirm you've read both.

Section 11 — Feedback

If you submit ideas, suggestions, reviews, or other feedback, you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, modify, publish, and distribute it for any purpose, including commercial use. We're under no obligation to keep it confidential, pay for it, or respond to it. We may remove feedback we consider unlawful, offensive, or otherwise objectionable. You confirm your feedback won't infringe anyone's rights, contain unlawful or abusive content, or misrepresent who you are.

Section 12 — Errors, Inaccuracies and Omissions

Occasionally the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct these and to change, update, or cancel orders affected by inaccurate information, at any time, without prior notice.

Section 13 — Prohibited Uses

You may use the Services only for lawful purposes. You must not use them to break any law; infringe our or others' intellectual property; harass, defame, or harm anyone; transmit false or misleading information; send spam or unsolicited advertising; impersonate any person or entity; upload viruses or malicious code; scrape or extract data using bots or automated tools; or bypass any security or access-control measures. We may suspend or terminate your access at any time if we determine you've violated these Terms.

Section 14 — Agents

This section applies if you use, allow, or enable an "Agent" — any software or service that takes autonomous or semi-autonomous action on your behalf to access, use, or interact with the Services. Agents must identify themselves in their request headers (e.g. "Agent/[agent name]"), must not conceal that they're automated (including by mimicking human behaviour or bypassing CAPTCHAs), must respond truthfully if asked whether they're human or automated, and must not circumvent measures we use to control Agent access. We may limit or block Agent access at any time, by technical or other means.

Section 15 — Termination

We may terminate this agreement or your access to the Services at our discretion, at any time, without notice. You remain liable for amounts due up to termination. Provisions that by their nature should survive termination (including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) continue to apply.

Section 16 — Disclaimer of Warranties

Information on the Services is provided for general information purposes, and we don't warrant its accuracy, completeness, or usefulness. To the maximum extent permitted by law, the Services and products offered through them are provided "as is" and "as available," without warranties of any kind, except as required by the Consumer Guarantees Act 1993 and Fair Trading Act 1986, which are not excluded by this clause.

Section 17 — Limitation of Liability

To the fullest extent permitted by law, Summit Supply, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, and licensors (including Shopify and its affiliates) won't be liable for any indirect, incidental, punitive, special, or consequential damages arising from your use of the Services or any product purchased through them — except where such liability can't be excluded under New Zealand law, including under the Consumer Guarantees Act 1993.

Section 18 — Indemnification

You agree to indemnify and hold harmless Summit Supply, Shopify, and our respective affiliates, officers, directors, employees, agents, and service providers from losses, damages, liabilities, or claims (including reasonable legal costs) arising from your breach of these Terms, your violation of any law or third-party right, or your use of the Services.

Section 19 — Severability

If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law, and the remainder of these Terms will remain in effect.

Section 20 — Waiver; Entire Agreement

Our failure to enforce any right or provision doesn't waive it. These Terms, together with any policies we post, form the entire agreement between you and us regarding the Services, superseding any prior agreements or communications.

Section 21 — Assignment

You may not transfer or assign this agreement or your rights under it without our written consent. We may transfer or assign our rights and obligations without notice to you.

Section 22 — Governing Law

These Terms, and any separate agreement under which we provide you Services, are governed by the laws of New Zealand. You and Summit Supply submit to the exclusive jurisdiction of the New Zealand courts.

Section 23 — Headings

Headings are included for convenience only and don't affect the interpretation of these Terms.

Section 24 — Changes to These Terms

We may update these Terms at any time by posting changes here. We'll notify you of material changes as required by law. Continued use of the Services after changes are posted means you accept them.
